This Statement of Work (“SOW”) is entered into between ODEIS Limited (“ODEIS”) and the Client identified at signature. This SOW is issued subject to, and incorporates by reference, the ODEIS Limited Terms of Business currently in force. A unique, completed SOW is issued to each client prior to commencing any engagement.
How ODEIS Uses This Framework
Every ODEIS engagement begins with a signed, client-specific Statement of Work. The document below represents the framework we use — all fields in highlighted brackets are completed collaboratively with you during project scoping and issued for signature before any work commences.
Our SOW process exists to protect both parties. Before we write a single line of analysis or deploy a single pipeline, we agree precisely:

Project Overview & Objectives
1.1 Background
A brief summary of why the Client is engaging ODEIS and the context driving the engagement. This is written collaboratively during scoping to ensure both parties share the same understanding of the problem.
1.2 Core Objective
The single, measurable outcome that defines a successful engagement.
Scope of Services
The scope section defines the discrete activities ODEIS will undertake during the engagement. Each activity is named and described in sufficient detail to prevent scope creep and to set clear expectations about what is and is not included.
Example Scope Activities
Establishing secure access to source systems, extracting relevant datasets within the agreed scope, and loading data into the analytical environment. Includes documentation of source schemas and initial data inventory.
Systematic profiling of all ingested datasets for completeness, consistency, duplication, and schema compliance. Applying agreed validation rules, documenting decisions, and producing a clean output dataset with an accompanying quality assessment report.
Applying the analytical methods agreed during scoping — statistical modelling, spatial analysis, machine learning, or regulatory benchmarking, as appropriate — to derive the outputs described in Section 3.
Synthesising analytical outputs into the agreed deliverable format. This may include a written report, an interactive dashboard, a structured data file, or a presentation — as defined in Section 3.
Out of scope: Any activities not explicitly listed above are out of scope. Requests beyond this scope will be addressed via a Change Order or a new Statement of Work.
Deliverables & Schedule
All outputs from the engagement are defined as named deliverables with a unique identifier, description, estimated delivery date, and format. This ensures both parties have a shared, unambiguous view of what will be produced and when.

Delivery dates are estimates based on timely receipt of all client dependencies listed in Section 4. ODEIS will notify the Client as soon as possible of any anticipated delays and their causes.
Client Dependencies & Responsibilities
ODEIS’s ability to meet the schedule above depends on timely fulfilment of the following client responsibilities. Delays in providing these dependencies may cause corresponding delays to deliverable dates, for which ODEIS will not be held responsible.

Fees, Expenses, and Invoicing
5.1 Pricing Structure
ODEIS offers two pricing models depending on the nature and maturity of the brief:
The total Fee for all Services detailed in this SOW is £[Amount] excluding VAT. This covers all activities described in Section 2 and the deliverables listed in Section 3. Changes to scope are addressed via a Change Order, which may adjust the Fee.
Services will be billed on a time-and-materials basis at a daily rate of £[Amount] per day (8 hours). ODEIS will provide a weekly time summary and notify the Client if cumulative spend is projected to exceed the agreed budget estimate by more than 10%.
5.2 Payment Milestones

All invoices are payable within 30 days of issue. Invoices are issued electronically to the billing contact named in Section 6. Late payment may attract interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
Reasonable, pre-approved expenses (travel, accommodation, specialist software licences) are charged at cost with supporting receipts. No expenses will be incurred without prior written authorisation from the Client.

The following contacts are the named points of accountability for each party throughout the engagement. Any changes to named contacts must be notified in writing.

The parties agree to hold a project kick-off call within 5 business days of SOW signing, to align on timelines, access requirements, and communication cadence. Progress updates will be issued by ODEIS on a fortnightly basis unless otherwise agreed.
Signatures
By signing below, both parties confirm their acceptance of this Statement of Work and agree to be bound by its terms and the accompanying ODEIS Limited Terms of Business. This document becomes a binding agreement upon receipt of countersigned copies by both parties.
